OFFICIAL RULES

NO PURCHASE IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES.

Sweepstakes starts at 12:01 am (Pacific Standard Time) on 12/1/01 and ends at 6:00 pm (Pacific Standard Time) on 3/31/02 for Internet entries and on 4/1/02 for the postmarking of mail entries.

1. HOW TO ENTER: HOW TO ENTER VIA INTERNET: Beginning at 12:01 am (Pacific Standard Time) on 12/1/01, you may enter via the Internet by logging onto the web page at http://www.thefastandthefurious.com (the "Web Site") and then following the directions for Internet Sweepstakes Entry; providing your full name, complete address, telephone number, e-mail address (if applicable), gender, and birth date ("On-line entry"). ALL ON-LINE ENTRIES MUST BE RECEIVED BY 6:00 PM (PACIFIC STANDARD TIME) ON 3/31/02. ONLY ONE ON-LINE ENTRY PER PERSON OR E-MAIL ADDRESS WILL BE ACCEPTED DURING THIS SWEEPSTAKES.

HOW TO ENTER BY MAIL: to enter by mail, handprint your name, address, telephone numbers, age and e-mail address [if applicable] on a plain piece of 3" X 5" paper and mail the completed entry to MAZDA "THE FAST AND THE FURIOUS" SWEEPSTAKES, PO BOX 6045, SHERMAN OAKS, CA 91413 ("Mail-in entry"). YOU MAY ENTER AS OFTEN AS YOU LIKE BY MAIL, BUT ALL MAIL-IN ENTRIES MUST BE MAILED IN A SEPARATELY STAMPED, HAND ADDRESSED ENVELOPE AND BE POSTMARKED BY 4/1/02 AND RECEIVED BY 4/9/02.

Sponsor (as defined below), Mazda Motor of America, Inc., Spin/Vibe Ventures, LLC, WEST COAST MARKETING, their respective affiliates, subsidiaries, parent corporations, and their respective officers, directors, shareholders, employees and agents, and any and all Internet servers and access provider(s) are not responsible for: any incorrect or inaccurate entry information; human error; technical malfunctions; failures, omission, interruption, deletion, or defect of any telephone network, computer online systems, computer equipment, servers, providers, or software, including any injury or damage to participant's or any other person's computer relating to or resulting from participation in this Sweepstakes; inability to access the Web Site or any provided link or; theft, tampering, destruction, or unauthorized access to, or alteration of entries; data processing that is processed late or incorrectly or is incomplete or lost due to telephone, computer or electronic malfunction or traffic congestion on telephone lines or the Internet or any web site; Mail-in entries which are late, lost, incomplete, misdirected, stolen, mutilated, illegible, postage due or any combination thereof; printing or other errors; or any combination thereof. Proof of entering information at Web Site or mailing entry is not considered proof of delivery or receipt. Illegible, incomplete and duplicate entries will be disqualified. All entries become the property of the Sponsor and will not be returned. False and/or deceptive entries or acts shall render entrants ineligible. By registering to enter the Sweepstakes, entrant affirms that they have read and accepted these Official Sweepstakes Rules.

2. WINNER SELECTION: Winners will be selected in a random drawing from among all eligible entries on or about 4/15/02 by WEST COAST MARKETING, an independent judging organization, whose decisions are final in all matters relating to this Sweepstakes. Grand Prize Winner will be notified by certified mail by 4/29/02 and will be required to complete, execute (notarize) and return a notarized Affidavit of Eligibility/Release of Liability and (except where prohibited) Publicity Release and a completed IRS W-9 form within 14 days of issuance. Failure to return all required documents in this time period may result in the winner being disqualified and an alternate winner selected. First and Second Prize winners will be notified by mail by 6/15/02 with the delivery of their prize. Prizes are guaranteed to be awarded. If a prize notification or a prize is returned to Sponsor or their fulfillment companies as undeliverable for any reason, it will be awarded to an alternate. No substitution of a prize by the winner will be permitted. If necessary due to unavailability, a prize of equal or greater value will be awarded at the discretion of the Sponsor. Prizes are not transferable, assignable or redeemable for cash.

All Federal, state and local tax liabilities and other prize fees are the sole responsibility of the winners. Acceptance of a prize constitutes permission (except where prohibited) to use the winner's name, address (city and state only), likeness and statements for publicity purposes without additional compensation or limitation.

3. PRIZES: GRAND PRIZE (1): one Grand Prize winner will receive a 2002 Mazda Protegé5 automobile with an approximate manufacturer's suggested retail value of $20,670 (including delivery, processing and handling fee, but excluding tax, title, registration, license and any other fees and costs). NOTE: Grand Prize Winner will be required to have a valid driver's license, issued in his/her state of residency as well as appropriate motor vehicle insurance prior to prize being awarded or prize will be forfeited and awarded to an alternate. Exact model, color, options and specific vehicle awarded as the Grand Prize is at the sole discretion of Sponsor and is subject to availability from manufacturer, distributor and/or dealer and will be delivered to winner at an authorized Mazda dealer selected by Mazda Motor of America, Inc. No substitution of prize by the winner shall be allowed. Any extra options selected by the Grand Prize winner and not provided as part of the Grand Prize shall be at the sole expense of the Grand Prize winner.

FIRST PRIZE (100): each First Prize shall consist of a one-year subscription to the First Prize winner's choice of either Spin Magazine or Vibe Magazine. The approximate retail value (ARV) of each First Prize is $11.95.

SECOND PRIZE (25): each Second Prize shall consist of one (1) "Fast And The Furious" DVD. The ARV of each Second Prize is $26.98.

The total approximate retail value of all prizes to be awarded in this Sweepstakes is $22,540.

If necessary due to unavailability, a prize of equal or greater value will be substituted at the sole discretion of Sponsor. Prizes are not transferable or redeemable for cash. All Federal, state, local or other tax liabilities, are the sole responsibility of the winners. Odds of winning a prize are determined by the total number of eligible entries received and are equal regardless of method of entry.

4. GRAND PRIZE DELIVERY. Grand Prize Winner shall be required to pick up automobile prize vehicle ("vehicle") at a location designated by Mazda Motor of America, Inc. Vehicle shall only be delivered within the Continental United States. All travel and transportation costs associated with collecting the vehicle will be the sole responsibility of the winner; provided, however, Sponsor shall pay all transportation costs associated with delivering said vehicle to a designated location. Grand Prize winner shall be required to personally retrieve the vehicle and present adequate personal identification.

Sponsor is not responsible for delays in delivery of the vehicle. The Grand Prize winner shall bear all risk of loss or damage to the vehicle after it has been delivered to the specified delivery site, and if the vehicle is not picked up within thirty (30) days of the date the vehicle is delivered to the specified designated dealer, the vehicle shall be automatically forfeited by the Grand Prize winner and awarded to an alternate.

5. ELIGIBILITY: This Sweepstakes is open only to those legal residents of the Continental United States, 18 years of age or older with a valid drivers license in their state of residency and is void where prohibited or restricted. Employees of Universal Studios Home Video, a division of Universal Studios, Inc., Mazda Motor of America, Inc., Spin/Vibe Ventures, LLC, their respective affiliates, subsidiaries, parent companies, agencies and WEST COAST MARKETING and those living in the households of same are not eligible. By entering, entrants agree to abide by and be bound by all terms of these Official Rules.

Universal Studios Home Video, a division of Universal Studios, Inc., Mazda Motor of America, Inc., Spin/Vibe Ventures, LLC, WEST COAST MARKETING, their respective employees, officers, directors, shareholders, parent companies, affiliates, subsidiaries, agencies and any other companies participating in the design, administration or fulfillment of this Sweepstakes (collectively "Sweepstakes Entities"), shall not be liable for claims, suits, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light (whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory, expenses or costs or losses of any kind resulting from participation or inability to participate in this Sweepstakes or acceptance of or use or inability to use the prize or parts thereof. Each winner releases the Sweepstakes Entities from any and all liability and responsibility with respect to the prize (including any property loss, damage, personal injury or death). Each winner acknowledges that the aforementioned individuals and entities have neither made nor are in any manner responsible for any warranty, representation or guarantee, expressed or implied, in fact or in law, related to the prize; provided, however, the Prize includes Mazda's express standard vehicle limited warranty as set forth in the Vehicle's Owner's Guide.

Any Mazda vehicle(s) pictured and/or displayed on the http://www.thefastandthefurious.com web site and/or on any other advertising or promotional materials may not be the actual vehicle awarded. The vehicle(s) pictured may be shown with select optional equipment, and the prize vehicle shall be equipped as specifically detailed in the prize description above.

If for any reason this Sweepstakes is not capable of running as planned, or if this Sweepstakes or any web site associated therewith (or any portion thereof) becomes corrupted or does not allow the proper playing of the Sweepstakes and processing of entries per these rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in Sponsor's sole opinion, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right, at its sole discretion, to disqualify any individual implicated in such action, and/or to cancel, terminate, modify or suspend this Sweepstakes or any portion thereof. In the event this Sweepstakes is cancelled, Sponsor reserves the right to conduct a random drawing to award the prize from among all eligible, non-suspect, entries received for the applicable drawing prior to the time of the action or event warranting such cancellation in combination with all Mail-in entries received for the Sweepstakes. If such cancellation, termination, modification or suspension occurs, notification will be posted on the web site at http://www.thefastandthefurious.com. Any attempt by an entrant or any other individual to deliberately damage any web site or undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Where a dispute arises about who submitted an Internet entry, the entry will be deemed submitted by the authorized account holder of the e-mail account entered. The authorized account holder is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide the Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry and that all eligibility requirements are met.

NOTE: Internet entry must be made by the entrant, only at the authorized web site address of http://www.thefastandthefurious.com. Entries made by any other individual or any entity and/or originating at any other Internet web site or e-mail address, including but not limited to commercial Sweepstakes subscription notification and/or entering service sites, will be declared invalid and as such deemed ineligible for this Sweepstakes.
